1. Acceptance of Terms

By provisioning a LuminexLabs OS standalone node or commissioning our developers for managed deployments, you agree to comply with and be bound by the following terms and conditions. These terms apply to all workspace developers, owners, administrators, and organization team members who access or operate within our software environments.

2. Sovereign Node Infrastructure & DB Keys

LuminexLabs operates on a decentralized, sovereign-first framework. Whether you utilize self-serve setup or request managed setup:

• Zero seat tax licensing: You acquire the rights to deploy the Luminex OS without monthly per-user licensing fees ($0 seat tax).
• Database ownership: The database (Supabase instance) belongs entirely to you. LuminexLabs holds zero access or administrative rights to your transactional ledgers, chats, or passwords.
• Credentials responsibility: You are solely responsible for securing your database URL, service keys, and system variables in `.env.local`. Loss of keys is unrecoverable by our engineering team.

3. Payments, Managed Deployments & Subscriptions

If you request Path B: Managed Deploy ($99), this is billed as a one-time setup fee via our secure payment gateway partner. The setup includes Supabase database architecture seeding, local workspace repository binding, custom startup domain routing configuration, and initial developer team onboarding. Recurring service plans (if applicable) are subject to invoicing terms visible inside your private admin billing dashboard. Payments are final once database provisioning has initiated.

4. Code Modifiability & Customization

You are granted the freedom to fully customize, extend, and rewrite the frontend and backend files of your LuminexLabs OS workspace. However, redistributing our proprietary UI layout blueprints, custom components, or brand marks under separate SaaS licensing without prior written authorization from LuminexLabs is strictly prohibited.

Zero-Trust Security Guarantee

Our OS utilizes client-side environment bridges. We do not transmit or log telemetry, chatbot conversations, pipeline logs, or CRM entries to any remote server owned by us. Everything runs in isolated runtime sandboxes belonging directly to your brand.

5. Governing Law

These Terms shall be governed by and construed in accordance with the laws of your local sovereign jurisdiction, without regard to its conflict of law provisions. Disputes shall be resolved directly inside our developer community workspace or escalated to authorized compliance arbitrations.
